Master Terms of Service

By accessing this portal, executing a Statement of Work (SOW), reserving architectural discovery sessions, or submitting technical intake scopes, you ("Client", "Enterprise", or "User") agree to be bound by these Terms.

All specialized consulting engagements, including distributed cloud decomposition, agentic AI development, performance load testing, and SecOps audits, are further subject to project-specific SOWs which shall supersede these Terms in the event of an explicit direct conflict.

We maintain rigorous standards regarding proprietary client assets and baseline foundational frameworks:

Engineering milestones are benchmarked against clearly defined operational metrics (such as sub-15ms p99 execution SLAs and zero-downtime cutover parameters).

• Performance Verification: Production SLA validations are verified through mutually approved synthetic load testing (e.g., k6, Locust, or Distributed JMeter runners) under simulated target concurrency.
• Limited Warranty: intelleosIQ warrants that delivered software services will perform substantially in conformance with agreed technical documentation for a period of thirty (30) days following final deployment sign-off.
• Exclusions: Performance degradation resulting from third-party cloud infrastructure outages (AWS, GCP, Azure), upstream provider rate-limits, or unapproved third-party code modifications are excluded from warranty coverage.

Both parties agree that all architectural schematics, unreleased API endpoints, business logic, algorithmic models, and database credentials shared during discovery sessions and sprint execution constitute Confidential Information. Neither party will disclose such information to third parties without prior written consent, maintaining protections for a minimum term of three (3) years post-termination.

Unless specified otherwise in an active SOW:

• Invoices for milestone-based or dedicated pod retainers are issued on Net-15 terms.
• Overdue payments past 30 days are subject to a late charge of 1.5% per month or the maximum rate permitted by law.
• Taxes, customs, and statutory levies applicable in the respective jurisdiction remain the obligation of Client.

To the maximum extent permitted by applicable law, in no event shall intelleosIQ Solutions or Techwarts Azeo IT Solutions Pvt Ltd be liable for indirect, incidental, punitive, or consequential damages (including loss of data, profits, business interruption, or reputation) arising out of the use or inability to use deployed systems. The maximum aggregate liability for any claim shall not exceed the total fees paid by Client to intelleosIQ under the applicable SOW in the preceding three (3) month window.

This Agreement shall be governed by and construed in accordance with the substantive laws of the Republic of India. In the event of any technical controversy or contractual dispute, the parties shall first seek resolution through good-faith executive escalation. Any unresolved dispute shall be referred to binding arbitration seated in Gautam Buddha Nagar / Noida, Uttar Pradesh, conducted in English under the Arbitration and Conciliation Act, 1996.
